Acceptance of Terms

By accessing or using JointEffort ("Service"), you agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these terms, you may not use the Service. By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Description of Service

JointEffort is a recovery support and wellness tool provided by Gracecliff LLC ("Company", "we", "us", "our") designed to help patients recovering from joint replacement surgery. The Service includes daily check-ins, exercise guidance, an AI companion, and caregiver notifications.

JointEffort is not a medical device. The Service is classified as a general wellness product and is not intended to diagnose, treat, cure, or prevent any disease or medical condition. The Service has not been evaluated or approved by the U.S. Food and Drug Administration (FDA) or any other regulatory body.

Eligibility

You must be at least 18 years of age to use the Service. By using JointEffort, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. The Service is intended for patients who have undergone or are preparing for joint replacement surgery, and their designated caregivers.

Account Registration and Security

To use the Service, you must create an account with accurate and complete information. You are responsible for:

• • Maintaining the confidentiality of your account credentials
• • All activities that occur under your account
• • Notifying us immediately of any unauthorized access or use
• • Ensuring the information you provide is accurate and up to date

We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.

Not Medical Advice

The Service does not provide medical advice. All content, including exercises, educational materials, check-in questions, and AI companion responses, is for informational and general wellness purposes only. The Service does not:

• • Diagnose medical conditions
• • Prescribe medications or treatments
• • Replace professional medical care, judgment, or advice
• • Create a physician-patient relationship

Always consult your surgeon, physical therapist, or other qualified healthcare provider with any questions about your medical condition or recovery. Never disregard professional medical advice or delay seeking it because of something you read or experience in the Service. For medical emergencies, call 911 immediately.

Acceptable Use

You may use JointEffort for personal, non-commercial purposes to support your recovery from joint replacement surgery. You agree not to:

• • Use the Service for any unlawful purpose
• • Attempt to gain unauthorized access to the Service or its systems
• • Interfere with or disrupt the Service or servers
• • Transmit viruses, malware, or other harmful code
• • Impersonate another person or entity
• • Use the Service to provide medical advice to others
• • Reverse engineer, decompile, or disassemble the Service
• • Use automated systems to access the Service without permission

AI Companion

The Service includes an AI-powered companion ("Grace") that provides personalized messages and responds to questions. You acknowledge and agree that:

• • Grace is an artificial intelligence and not a human or medical professional
• • Responses from Grace are for informational and supportive purposes only
• • Grace cannot diagnose conditions, prescribe treatments, or provide medical advice
• • You should not rely on Grace for medical decisions
• • Grace may occasionally provide inaccurate or incomplete information

Third-Party AI Services

The AI capabilities in JointEffort are powered by large language model (LLM) technology provided by Anthropic, PBC. We reserve the right to change our AI service provider at any time without notice, as we continuously evaluate options to improve the Service.

When you interact with Grace or other AI features, your inputs and conversation data are processed by our third-party AI provider. You acknowledge and agree that:

• • Your data is transmitted to and processed by third-party AI infrastructure
• • Under our agreements with AI providers, your data is not used to train or improve their AI models
• • AI providers process data solely to generate responses for your session
• • We select providers that maintain appropriate security and privacy standards
• • AI-generated content may contain errors, inaccuracies, or outdated information
• • We do not guarantee the accuracy, completeness, or reliability of AI outputs

We implement safeguards to help ensure AI responses are appropriate for recovery support, but no AI system is perfect. Always verify important information with your healthcare provider.

Caregiver Access

You may invite a caregiver to view your check-in summaries and receive safety alerts. By adding a caregiver, you consent to sharing your recovery information with that individual. You may revoke caregiver access at any time through the Service.

Intellectual Property

The Service and its contents, including but not limited to text, graphics, images, exercises, and software, are owned by Gracecliff LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

User Content

You retain ownership of any content you submit through the Service, such as check-in responses and notes. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process that content solely to provide and improve the Service. We may use anonymized, aggregated data for research and service improvement purposes.

Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy, completeness, or usefulness of any information provided through the Service. Any reliance on the Service is at your own risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRACECLIFF LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR HEALTH, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL CARE. WE ARE NOT RESPONSIBLE FOR ANY HEALTH OUTCOMES RESULTING FROM YOUR USE OF OR RELIANCE ON THE SERVICE.

Indemnification

You agree to indemnify, defend, and hold harmless Gracecliff LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another.

Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. You may stop using the Service at any time. Upon termination, your right to use the Service will immediately cease. You may request deletion of your account and data as described in our Privacy Policy.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in San Francisco County, California.

Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service prior to the changes taking effect. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Gracecliff LLC regarding the Service and supersede any prior agreements or understandings.
